Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of UteQuote, a voice-to-quote and invoicing platform operated by No Drama Studios Pty Ltd ("we", "us", "our"), accessible at utequote.com.au.

By creating an account or using UteQuote, you agree to be bound by these Terms. If you do not agree, do not use the service.

These Terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria, Australia.

2. The Service

UteQuote is a software-as-a-service (SaaS) platform that allows Australian tradies and contractors to:

• Record voice descriptions of jobs and have them transcribed into quotes and invoices
• Generate ATO-compliant PDF tax invoices and quotes
• Send quotes and invoices to customers via email and SMS
• Manage and track quote and invoice status
• Access a dashboard of recent documents and business activity

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.

3. Eligibility

To use UteQuote, you must:

• Be at least 18 years of age
• Be operating a business or working as a contractor in Australia
• Have a valid Australian mobile phone number
• Provide accurate and complete registration information

UteQuote is designed for Australian businesses. Features including SMS delivery, ABN validation, and GST calculations are configured for Australian use. Use outside Australia is not supported and may not function correctly.

4. Your Account

You are responsible for maintaining the security of your account credentials. Do not share your password with anyone. You are responsible for all activity that occurs under your account.

You must notify us immediately at legal@utequote.com.au if you suspect unauthorised access to your account.

You agree to provide accurate, current, and complete information about yourself and your business, and to keep this information up to date.

5. Acceptable Use

You agree not to use UteQuote to:

• Violate any applicable Australian or international law or regulation
• Generate fraudulent, misleading, or deceptive quotes or invoices
• Send unsolicited communications (spam) to customers
• Impersonate another person or business
• Attempt to gain unauthorised access to the service or other users' data
• Reverse engineer, decompile, or disassemble any part of the service
• Use the service in a way that could damage, disable, or impair it
• Scrape, harvest, or collect data from the service without our written permission
• Use the service for any purpose other than legitimate business quoting and invoicing

We reserve the right to suspend or terminate accounts that violate these terms, without notice or refund.

6. Subscription and Payments

6.1 Free Plan

UteQuote offers a free plan with limited features. The free plan is provided as-is and may be modified or discontinued at any time.

6.2 QuotePro Subscription

The QuotePro subscription is available for $15 AUD per month (inclusive of GST). The subscription renews automatically each month until cancelled.

6.3 Billing

Payments are processed by Stripe. By subscribing, you authorise us to charge your nominated payment method on a monthly basis. All prices are in Australian dollars (AUD) and include GST where applicable.

6.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to QuotePro features until the end of the paid period. We do not provide refunds for partial months.

6.5 Price Changes

We may change subscription pricing with at least 30 days' notice. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

7. Intellectual Property

UteQuote and all associated software, designs, trademarks, and content are owned by No Drama Studios Pty Ltd or our licensors. Nothing in these Terms grants you any right to use our intellectual property other than as necessary to use the service.

Your content — the quotes, invoices, job descriptions, and business data you create using UteQuote — remains yours. You grant us a limited licence to store, process, and transmit your content solely as necessary to provide the service.

You represent that you own or have the right to use all content you submit to UteQuote, and that your content does not infringe the intellectual property rights of any third party.

8. ATO Compliance

UteQuote generates documents designed to meet Australian Taxation Office (ATO) requirements for tax invoices, including ABN display, GST calculation, and required invoice fields. However:

• You are responsible for ensuring your ABN and business details are correct
• You are responsible for verifying that generated documents meet your specific tax obligations
• UteQuote does not provide tax advice — consult a registered tax agent or accountant for advice specific to your situation

9. Disclaimer of Warranties

UteQuote is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by Australian law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or completely secure. AI-generated content (including transcriptions and quote suggestions) may contain errors — you are responsible for reviewing all generated content before sending it to customers.

10. Limitation of Liability

To the maximum extent permitted by Australian law, No Drama Studios Pty Ltd and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising from your use of UteQuote.

Our total liability to you for any claim arising from these Terms or your use of UteQuote will not exceed the total amount you have paid to us in the 12 months preceding the claim.

Nothing in these Terms limits or excludes any rights you may have under the Australian Consumer Law that cannot be excluded by agreement.

11. Indemnification

You agree to indemnify and hold harmless No Drama Studios Pty Ltd and its directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of UteQuote
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you submit through UteQuote

12. Termination

You may close your account at any time from your account settings or by contacting us at legal@utequote.com.au.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. In the event of termination for cause, no refund will be provided.

Upon account closure, your data will be deleted within 30 days, except where retention is required by law (e.g. payment records required under Australian tax law).

13. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. Any dispute arising from these Terms or your use of UteQuote will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Before commencing legal proceedings, you agree to contact us at legal@utequote.com.au to attempt to resolve the dispute informally. We will endeavour to respond within 14 days.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the UteQuote website at least 14 days before the changes take effect. Continued use of UteQuote after the effective date constitutes acceptance of the updated Terms.
