Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of UteQuote, a voice-to-quote and invoicing platform operated by No Drama Studios Pty Ltd (“we”, “us”, “our”), accessible at utequote.com.au, utequote.com, and our mobile applications.

By creating an account or using UteQuote, you agree to be bound by these Terms. If you do not agree, do not use the service.

No Drama Studios Pty Ltd is an Australian company. These Terms are governed by the laws of Victoria, Australia, subject to any mandatory consumer protection laws that apply in your jurisdiction (see Section 13).

2. The Service

UteQuote is a software-as-a-service (SaaS) platform that allows tradespeople, contractors, freelancers, and small-business owners to:

• Record voice descriptions of jobs and have them transcribed into quotes and invoices using AI
• Generate professional PDF quotes and tax invoices
• Send quotes and invoices to customers via email and SMS
• Manage jobs, track quote and invoice status, and view business analytics
• Store customer information and job history

UteQuote is available to users in Australia, New Zealand, the United Kingdom, the United States, and Canada. Features such as tax calculations, currency formatting, and document templates are configured for each supported country.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.

3. Eligibility

To use UteQuote, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Be operating a business, working as a contractor, freelancer, or sole trader, or otherwise have a legitimate business need for quoting and invoicing
• Provide accurate and complete registration information, including your name, email address, mobile phone number, and country
• Verify your email address to activate outbound features (sending quotes, invoices, and reminders)

UteQuote is designed for business use. Use of UteQuote for personal, non-business purposes is not supported. We reserve the right to refuse or terminate accounts that do not meet these eligibility requirements.

4. Your Account

You are responsible for maintaining the security of your account credentials. Do not share your password with anyone. You are responsible for all activity that occurs under your account.

You must notify us immediately at legal@utequote.com.au if you suspect unauthorised access to your account.

You agree to provide accurate, current, and complete information about yourself and your business, and to keep this information up to date. This includes your business name, contact details, and any tax identifiers required in your country (e.g. ABN in Australia, NZBN in New Zealand, UTR in the UK, EIN in the US, BN in Canada).

5. Acceptable Use

You agree not to use UteQuote to:

• Violate any applicable law or regulation in your jurisdiction
• Generate fraudulent, misleading, or deceptive quotes or invoices
• Send unsolicited communications (spam) to customers or third parties
• Impersonate another person or business
• Attempt to gain unauthorised access to the service or other users’ data
• Reverse engineer, decompile, or disassemble any part of the service
• Use the service in a way that could damage, disable, or impair it
• Scrape, harvest, or collect data from the service without our written permission
• Use the service for any purpose other than legitimate business quoting and invoicing
• Abuse our email or SMS delivery infrastructure, including sending from an unverified account or using UteQuote to send communications unrelated to quotes or invoices

We reserve the right to suspend or terminate accounts that violate these terms, without notice or refund.

6. Subscription and Payments

6.1 Free Plan

UteQuote offers a free plan with core quoting and invoicing features. The free plan is provided as-is and may be modified or discontinued at any time with reasonable notice.

6.2 Pro Subscription

The UteQuote Pro subscription unlocks advanced features including automated follow-ups, templates, advanced analytics, and integrations. Pricing varies by country and is displayed in your local currency at the time of purchase. Current pricing is available on our Pricing page.

6.3 Billing

Payments are processed securely by Stripe. By subscribing, you authorise us to charge your nominated payment method on a recurring basis (monthly or annually, depending on the plan you select). Prices are displayed in your local currency and include applicable taxes where required by law. UteQuote does not take a percentage of your invoices or transactions — you pay a flat subscription fee only.

6.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until the end of the paid period. We do not provide refunds for partial billing periods.

6.5 Price Changes

We may change subscription pricing with at least 30 days’ notice. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

7. Intellectual Property

UteQuote and all associated software, designs, trademarks, and content are owned by No Drama Studios Pty Ltd or our licensors. Nothing in these Terms grants you any right to use our intellectual property other than as necessary to use the service.

Your content — the quotes, invoices, job descriptions, customer information, and business data you create using UteQuote — remains yours. You grant us a limited licence to store, process, and transmit your content solely as necessary to provide the service.

You represent that you own or have the right to use all content you submit to UteQuote, and that your content does not infringe the intellectual property rights of any third party.

8. Tax Compliance

UteQuote generates documents designed to meet common tax invoice requirements in your country, including:

• Australia: ATO requirements for tax invoices, including ABN display and GST calculation
• New Zealand: IRD requirements including GST-inclusive pricing and NZBN display
• United Kingdom: HMRC requirements including VAT calculation and display
• United States: Standard invoice formatting with state sales tax support
• Canada: CRA requirements including GST/HST/PST calculation

However:

• You are solely responsible for ensuring your business details, tax identifiers, and tax rates are correct
• You are responsible for verifying that generated documents meet your specific tax obligations
• UteQuote does not provide tax, legal, or financial advice — consult a qualified professional for advice specific to your situation
• Tax laws vary by jurisdiction and change over time; we make reasonable efforts to keep our templates current but cannot guarantee compliance in all cases

9. AI-Generated Content

UteQuote uses artificial intelligence to transcribe voice recordings and generate quote and invoice content. AI-generated content may contain errors, inaccuracies, or omissions. You are responsible for reviewing and verifying all AI-generated content before sending it to customers or relying on it for any purpose.

We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You agree that No Drama Studios Pty Ltd is not liable for any loss or damage arising from reliance on AI-generated content.

10. Disclaimer of Warranties

UteQuote is provided “as is” and “as available” without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by applicable law, No Drama Studios Pty Ltd and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising from your use of UteQuote.

Our total liability to you for any claim arising from these Terms or your use of UteQuote will not exceed the total amount you have paid to us in the 12 months preceding the claim.

Nothing in these Terms limits or excludes any rights you may have under mandatory consumer protection laws in your jurisdiction that cannot be excluded by agreement, including but not limited to the Australian Consumer Law, the New Zealand Consumer Guarantees Act, the UK Consumer Rights Act 2015, or equivalent legislation in the United States or Canada.

12. Indemnification

You agree to indemnify and hold harmless No Drama Studios Pty Ltd and its directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of UteQuote
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you submit or send through UteQuote
• Any dispute between you and your customers arising from documents generated via UteQuote

13. Privacy and Data

Your use of UteQuote is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal and business information. By using UteQuote, you consent to the practices described in our Privacy Policy.

Your data is stored on servers operated by our infrastructure providers (Supabase and Vercel). Data may be processed in regions outside your home country as necessary to provide the service. We take reasonable measures to protect your data, but you acknowledge that no method of electronic storage or transmission is 100% secure.

14. Termination

You may close your account at any time from your account settings or by contacting us at legal@utequote.com.au.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. In the event of termination for cause, no refund will be provided.

Upon account closure, your data will be deleted within 30 days, except where retention is required by law (e.g. financial records required under tax legislation in your jurisdiction).

15. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. Subject to any mandatory consumer protection laws in your jurisdiction, any dispute arising from these Terms or your use of UteQuote will be subject to the jurisdiction of the courts of Victoria, Australia.

If you are located outside Australia, nothing in these Terms restricts your right to bring proceedings in your local courts where required by your local consumer protection law.

Before commencing legal proceedings, you agree to contact us at legal@utequote.com.au to attempt to resolve the dispute informally. We will endeavour to respond within 14 days.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the UteQuote website at least 14 days before the changes take effect. Continued use of UteQuote after the effective date constitutes acceptance of the updated Terms.
